Terms & Conditions
These Terms & Conditions ("Agreement") govern your use of staffing and recruiting services provided by Oppurture Technology ("Oppurture Technology," "we," "our," or "us"). By engaging with our services, you ("you," "your," "Client," or "Candidate") agree to be bound by this Agreement. If you do not agree, you must discontinue use of our services immediately.
Use of Services
Eligibility
Our services are available only to individuals and organizations legally capable of entering into binding agreements under applicable law.
Scope
Oppurture Technology provides staffing, recruiting, candidate sourcing, placement, and related consulting services. The specific scope will be defined in a written engagement or service agreement.
Client Obligations
Clients must provide accurate job descriptions, compensation details, workplace conditions, and any other information relevant to recruitment. Services may not be used for unlawful, unethical, or discriminatory purposes.
Candidate Obligations
Candidates must provide truthful and up-to-date information regarding qualifications, background, and work authorization. By submitting information, you grant Oppurture Technology permission to verify details as necessary.
Payment
Clients agree to pay service fees as outlined in the applicable engagement agreement. Unless otherwise stated, invoices are due within thirty (30) days. Late payments may accrue interest or penalties.
Intellectual Property
Ownership
All intellectual property, including processes, methodologies, documentation, and technology used by Oppurture Technology, remain our sole property unless expressly transferred in writing.
License
Upon full payment, Clients are granted a limited, non-exclusive, non-transferable right to use deliverables for internal business purposes only.
Candidate Materials
Resumes, portfolios, or work samples submitted remain the property of the Candidate or original creator. Clients are permitted to use such materials solely for evaluation and hiring purposes.
Third-Party Content
If third-party intellectual property is incorporated into our services, you agree to comply with any applicable third-party licensing terms.
Limitation of Liability
No Guarantees
Opporture Tech does not guarantee candidate placement, length of employment, or performance outcomes.
Exclusions
To the fullest extent permitted by law, Opporture Tech shall not be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, even if advised of the possibility.
Liability Cap
Our total liability under this Agreement shall not exceed the total fees paid by you for the specific engagement giving rise to the claim.
Termination
Convenience
Either party may terminate an engagement upon thirty (30) days' written notice.
Cause
Either party may terminate immediately upon written notice if the other party breaches this Agreement and fails to cure within fourteen (14) days.
Effects
Upon termination:
- All outstanding fees become immediately due.
- Licenses granted under this Agreement will cease.
- Each party must return or destroy the other's confidential information upon request.
Governing Law
This Agreement shall be governed by and construed under the laws of the State where Oppurture Technology LLC is incorporated, without regard to conflict-of-law principles.
Law and Jurisdiction
All disputes shall be resolved exclusively in the state or federal courts located in the county and state of Oppurture Technology's principal office. Both parties consent to jurisdiction and venue in such courts.
Waiver
No failure or delay in exercising any right or remedy under this Agreement shall operate as a waiver. A waiver on one occasion does not constitute a waiver of any future rights or remedies.
Modification
Opporture Tech reserves the right to update or amend these Terms & Conditions at any time. Updates will be effective upon posting on our website or notifying you directly. Continued use of our services after changes constitutes acceptance of the revised terms.
Miscellaneous
Severability
If any provision is found invalid, the remaining provisions shall remain enforceable.
Independent Contractors
The relationship between Oppurture Technology and its Clients/Candidates is that of independent contractors. Nothing creates a partnership, joint venture, or employment relationship unless explicitly stated.
Confidentiality
Both parties agree to protect and not disclose confidential information, except as required by law or with prior written consent.
